- Were looking for a Senior Corporate Counsel / Associate General Counsel to join Bolts Legal team.
- This new position reports to our General Counsel and can be based out of any of our US offices or remotely within the US.
- In this role, lead a variety of legal initiatives including fundraising, corporate development/M&A, investment, and strategic dealmaking.
- This position is high-priority and were looking for someone to join us immediately.
What you will be doing:
- Oversee corporate strategic transactions, including corporate development/mergers and acquisitions, and strategic partnerships
- Lead legal work for Bolts fundraising and investment activities
- Prepare board and committee materials; development and management of our corporate governance programs; and advise on other board related matters
- Support international corporate governance, international registration, and management of subsidiary entities
- Provide general advice and counsel to leaders in Bolts Finance, Accounting and Strategic Partnerships teams
What would set you up for success:
- 10+ years of relevant experience including at least 4 years at a high-growth private company
- Substantial experience with securities and governance, org chart management, mergers & acquisitions, strategic dealmaking, fundraising, public company readiness
- Prior experience leading corporate investment activities
- Interest and experience in the crypto industry
- Exceptional attention to detail, ability to meet deadlines, and manage multiple projects
- Trustworthy and experienced in handling highly sensitive and confidential information with discretion
- Excellent written and oral communication skills with the ability to communicate effectively with executive stakeholders and the broader team
- High tolerance for ambiguity and comfort working independently and proposing and defending solutions
- Willingness to dive in and get your hands dirty to get a job done
Expected Outcomes In 12 Months:
- Build processes and systems to improve Board & Committee meetings and actions
- Help create and support the framework for Bolts investment activities
- Lead corporate strategic and M&A deals
- Transition appropriate securities and governance work inhouse
- Assume responsibility for subsidiary management
